1. About these Terms

These Terms & Conditions ("Terms") govern your use of the public marketing website operated at https://cvms.uk (the "Website"). By accessing the Website you agree to be bound by these Terms. If you do not agree, please do not use the Website.

These Terms cover the Website only. Any use of the CVMS software platform, the public demonstration environment at demo.cvms.uk, or any professional services provided by CVMS sp. z o.o. is governed by a separate written agreement (typically a Master Services Agreement or pilot letter) and not by these Terms.

3. Services provided through the Website

The Website provides the following electronic services within the meaning of Art. 2 pt 4 u.ś.u.d.e.:

1. display of marketing and product information about CVMS;
2. a contact form allowing visitors to send a one-off message to our sales team;
3. publication of legal notices (this document, the Privacy Policy and the Cookie Notice).

All services are free of charge. No registration is required and no user account is created. Communication between you and the Website is encrypted with HTTPS using TLS 1.2 or higher.

4. Technical requirements

To use the Website you need:

• a device with internet access;
• a current version of a mainstream web browser (Mozilla Firefox, Google Chrome, Microsoft Edge, Apple Safari) with JavaScript enabled;
• for the contact form: an active e-mail account.

The minimum screen resolution comfortably supported is 360 × 640 CSS pixels.

5. Permitted and prohibited uses

You agree to use the Website lawfully and in particular not to:

• provide false, misleading or unlawful information through the contact form;
• submit content that is obscene, defamatory, threatening, hateful or that infringes any third party's rights;
• attempt to circumvent rate limits, access controls or other security mechanisms;
• scan, probe or test the vulnerability of the Website without our prior written authorisation, except where covered by an applicable safe-harbour rule (e.g. responsible disclosure addressed to contact@cvms.uk);
• use the Website to transmit malware, spam, phishing or any unsolicited commercial communication;
• scrape, mirror or republish substantial parts of the Website without our prior written consent.

We may block access from any IP address or network observed to be in breach of this section, in line with Art. 14 of the u.ś.u.d.e.

6. Intellectual property

All content published on the Website — including the CVMS name and logo, product screenshots, copy, structure, illustrations, source code, layouts and stylesheets — is owned by CVMS sp. z o.o. or used under licence. Nothing in these Terms grants you any licence or right in such content other than the limited right to view and (for non-commercial purposes only) print or locally cache pages for personal reference.

CVMS™ and the CVMS shield are unregistered trade marks of CVMS sp. z o.o. All other names and marks are the property of their respective owners.

7. Personal data

Personal data submitted through the Website (including via the contact form) is processed in accordance with our Privacy Policy, which forms an integral part of these Terms.

8. Availability and disclaimers

We aim to keep the Website available 24 hours a day, but we do not commit to any specific service level for the marketing site. We may modify, suspend or discontinue all or part of the Website at any time, with or without notice, for maintenance, security or commercial reasons.

The Website and its content are provided as is for general informational purposes only. They do not constitute a binding offer (Art. 66 of the Polish Civil Code), professional advice, a security assessment or a guarantee of suitability for any particular purpose. To the fullest extent permitted by applicable law, CVMS sp. z o.o. excludes all warranties (express or implied) in respect of the Website.

9. Limitation of liability

To the fullest extent permitted by applicable law, CVMS sp. z o.o. shall not be liable for any indirect, incidental, consequential, special or punitive damages, loss of profit, loss of revenue, loss of data or loss of goodwill arising out of or in connection with the use of, or inability to use, the Website, even if advised of the possibility of such damages.

Nothing in these Terms limits or excludes our liability for: (a) damage caused by wilful misconduct (wina umyślna) under Polish law; (b) death or personal injury caused by our negligence; or (c) any other liability that cannot lawfully be limited or excluded.

10. Complaints

Complaints regarding the operation of the Website may be sent to contact@cvms.uk with the subject line "Website complaint". The complaint should describe the issue, the date and time it occurred, and your contact details. We will acknowledge receipt within 7 business days and respond on the merits within 14 business days, unless a longer period is necessary to investigate, in which case we will inform you of the expected response date.

11. Governing law and jurisdiction

These Terms are governed by, and shall be construed in accordance with, the laws of the Republic of Poland. Any dispute arising out of or in connection with these Terms or the use of the Website shall be submitted to the exclusive jurisdiction of the common courts having territorial competence over the seat of CVMS sp. z o.o. (Warsaw, Poland).

Consumers resident in the United Kingdom. If you access the Website as a consumer (i.e. for purposes wholly or mainly outside your trade, business, craft or profession) and you are habitually resident in the United Kingdom, nothing in this section deprives you of the protection of the mandatory consumer-protection rules of the law of your country of residence — including, where applicable, the Consumer Rights Act 2015 — and you may bring proceedings in the courts of your place of residence in addition to the courts identified above.

EU consumers — out-of-court dispute resolution. The European Commission operates an online dispute-resolution platform available at ec.europa.eu/consumers/odr.

12. Changes to these Terms

We may update these Terms from time to time. The current version, together with its effective date and version number, will always be available at https://cvms.uk/terms.html. Material changes will be highlighted on the home page for at least 30 days. Continued use of the Website after a new version comes into force constitutes acceptance of that version.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable by a competent court, the remaining provisions shall continue in full force and effect, and the invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely reflects the original economic intent.
